These Terms of Service (“Terms”) are a binding agreement between you and Spero Financial Group LLC, a Utah limited liability company doing business as Spero CFO(“Spero,” “we,” “us,” or “our”), governing your access to and use of Spero Intelligenceand related websites and services (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of a household, entity, or organization, you represent that you are authorized to bind it to these Terms, and “you” includes that party.
Spero Intelligence is a personal-finance and family-office bookkeeping application that lets you connect financial accounts, automatically categorize transactions through a multi-layer engine, and view net worth, cash flow, budget, and reporting. Some features may be made available only as part of, or in addition to, a separate engagement with Spero. We may add, change, or discontinue features at any time.
You are responsible for the accuracy of the information you provide, for maintaining the security of your login credentials, and for all activity under your account. Notify us promptly at [email protected]if you suspect unauthorized use. You may not share your account or let others use it except through the Service’s authorized portal and team features.
The Service lets you link bank, card, and investment accounts through third-party aggregation providers (such as Plaid and SnapTrade). By linking an account, you:
Account information is provided by your financial institutions and aggregation providers. We are not responsible for the accuracy, completeness, or timeliness of that third-party data, and the Service does not initiate payments or move money.

Spero Intelligence is an operating and reporting tool. The information, categorizations, projections, and reports it produces are informational and general in nature and do not constitute investment, tax, accounting, or legal advice, a recommendation, or a solicitation. Automated categorization and AI-assisted suggestions may contain errors and should be reviewed. Specific professional services Spero provides are governed by a separate engagement agreement, which controls in the event of any conflict with these Terms. You should consult your own qualified advisors before acting on any information in the Service.
The Service, including its software, design, content, and the categorization engine, is owned by Spero and its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or internal business purposes. We reserve all rights not expressly granted. “Spero,” “Spero CFO,” and “Spero Intelligence” and related logos are our marks and may not be used without permission.
You retain ownership of the information and documents you provide or connect (“Your Content”). You grant us a license to host, process, display, and use Your Content solely to operate, secure, support, and improve the Service and to provide it to you and your authorized users, and as described in our Privacy Policy. You represent that you have the rights needed to provide Your Content and to grant this license.
The Service integrates with and links to third-party services (such as Plaid, SnapTrade, Intuit/QuickBooks, and single sign-on providers). We do not control and are not responsible for those services, and your use of them is subject to their own terms and policies.
Where the Service or specific features require payment, the applicable fees, billing terms, and any free or trial terms will be described at sign-up or in your engagement with Spero. Unless stated otherwise, fees are non-refundable except as required by law. We may change fees prospectively with notice.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DATA (INCLUDING THIRD-PARTY ACCOUNT DATA AND CATEGORIZATIONS) WILL BE ACCURATE OR COMPLETE.
TO THE FULLEST EXTENT PERMITTED BY LAW, SPERO AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
You agree to indemnify and hold harmless Spero and its members, officers, and employees from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, Your Content, or your violation of these Terms or applicable law.
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, if required for security or legal reasons, or if we discontinue the Service. Provisions that by their nature should survive termination (including Sections 6-8 and 11-16) will survive.
These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws rules. You and Spero agree that the exclusive venue for any dispute not subject to arbitration or small-claims court will be the state or federal courts located in Utah, and you consent to their jurisdiction. Before filing any claim, you agree to first contact us at [email protected] and attempt in good faith to resolve it.
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, for material changes, provide additional notice as appropriate. Your continued use of the Service after an update means you accept the revised Terms.
These Terms, together with the Privacy Policy and any applicable engagement agreement, are the entire agreement between you and Spero regarding the Service. If any provision is held unenforceable, the rest will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control.
